MUSIC VOLUME (MV.ICU) — Terms of Service

1. Introduction


These Terms of Service ("Terms") govern your access to and use of the Music Volume Ltd platform operated at mv.icu ("Platform", "Service", "we", "us", "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.


MUSIC VOLUME is a music licensing and Content ID revenue-sharing platform. We provide audio tracks for use in online video content and facilitate revenue sharing through YouTube's Content ID system via our distribution partner, our Content ID distribution partner.

3.1. You must be at least 18 years old or the age of majority in your jurisdiction.


3.2. You must provide accurate and complete registration information.


3.3. You are responsible for maintaining the confidentiality of your account credentials.


3.4. One person may operate multiple accounts only with written permission from us.


3.5. We reserve the right to refuse service to anyone for any reason.




4. Music License Grant


4.1. License Type. We grant you a non-exclusive, worldwide, perpetual (subject to these Terms) license to use Tracks from our catalog in your online video content.

4.4. Content ID Claims. Tracks are registered in YouTube's Content ID system. Videos using our Tracks WILL receive a Content ID claim. This is NOT a copyright strike. Claims enable revenue sharing — they do not affect your channel standing.


4.5. License Survival. If you downloaded a Track while these Terms were in effect, you may continue using it in existing published content even after account termination. You may NOT use it in new content after termination.




5. Revenue Sharing


5.1. Eligibility. To receive Payouts, you must:

5.3. Estimates vs. Actuals. Dashboard figures labeled "Estimated" are projections based on public view counts and standard rates. ACTUAL revenue depends on YouTube ad performance, geographic distribution of viewers, ad blocker usage, and our distribution partner's reporting. We make no guarantees that estimated and actual amounts will match.


5.4. Payment Schedule. Payouts are processed quarterly:


5.5. Payment Methods. PayPal, Skrill, USDT (TRC-20 network), IBAN bank transfer. You are responsible for providing correct payment details. Transaction fees are deducted from your payout.


5.6. Tax Obligations. You are solely responsible for all taxes applicable to your earnings. We may request tax documentation (W-8BEN, W-9, or equivalent) before processing payouts. We may withhold taxes as required by applicable law.


5.7. Adjustments. We reserve the right to adjust payouts retroactively if Content ID data is corrected, claims are disputed, or fraud is detected.




6. Channel Verification


6.1. To verify a channel, you must add a unique verification code to your YouTube channel description.


6.2. Verification confirms that you are the authorized operator of the channel.


6.3. We reserve the right to revoke verification if we determine the channel was verified fraudulently.


6.4. You must notify us within 48 hours if you transfer ownership of a verified channel.




7. Community Track Uploads


7.1. By uploading a Track to the shared catalog, you represent and warrant that:


7.2. Revenue Split. For Community Tracks published to the shared catalog:


7.3. Content ID Registration. By uploading, you authorize us to register the Track with our Content ID distribution partner for claims.


7.4. Removal. You may request removal of your uploaded Track. Removal will be processed within 30 days. Existing Content ID claims will be released. Revenue earned before removal is still payable.


7.5. Indemnification. You agree to indemnify and hold us harmless from any claims, damages, or costs arising from your uploaded content.




8. API Access


8.1. We provide API access for programmatic integration with our catalog.


8.2. API Keys are personal and non-transferable.


8.3. Rate limits apply: 100 requests per minute per API key (default).

9. Abuse Protection


9.1. We employ automated rules to prevent false or inappropriate Content ID claims.


9.2. Claims may be automatically released on channels with very large subscriber counts, verified artist channels, or when counter-claimed by major record labels.


9.3. We are not liable for any revenue lost due to claim releases made by our abuse protection system.


9.4. You agree not to intentionally trigger Content ID claims on videos you do not own or operate.

11.1. All Platform Tracks, logos, designs, text, and software are owned by MUSIC VOLUME or our licensors.


11.2. The license granted in Section 4 does not transfer ownership of any intellectual property.


11.3. "MUSIC VOLUME", "MV.ICU", and associated logos are our trademarks.




12. Disclaimers


12.1. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.


12.2. WE DO NOT WARRANT THAT:


12.3. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.




13. Limitation of Liability


13.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT WE HAVE PAID TO YOU IN THE 12 MONTHS PRECEDING THE CLAIM.


13.2. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOST PROFITS, OR LOSS OF DATA.


13.3. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).


13.4. Nothing in these Terms limits liability that cannot lawfully be limited under applicable law, including EU consumer protection regulations.




14. Indemnification


You agree to indemnify, defend, and hold harmless MUSIC VOLUME, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from:




15. Dispute Resolution


15.1. Governing Law. These Terms are governed by the laws of Poland.


15.2. Informal Resolution. Before filing any formal claim, you agree to contact us at legal@mv.icu and attempt to resolve the dispute informally for at least 30 days.


15.3. Arbitration. Any dispute not resolved informally shall be settled by binding arbitration administered in Wroclaw, Poland, in accordance with the rules of the Polish Chamber of Commerce.


15.4. Class Action Waiver. You agree to resolve disputes individually and waive any right to participate in class actions. This clause applies only where permitted by applicable law.


15.5. Small Claims Exception. Either party may bring claims in small claims court if eligible.

17. Changes to Terms


17.1. We may modify these Terms at any time.


17.2. Material changes will be communicated via email and/or dashboard notification at least 30 days before taking effect.


17.3. Continued use of the Platform after changes take effect constitutes acceptance.




18. Miscellaneous


18.1. Entire Agreement. These Terms, together with the Privacy Policy, Content License Agreement, Payout Terms, and DMCA Policy, constitute the entire agreement between you and MUSIC VOLUME.


18.2. Severability. If any provision is found unenforceable, the remaining provisions remain in effect.


18.3. No Waiver. Our failure to enforce any provision does not waive our right to enforce it later.


18.4. Assignment. We may assign our rights under these Terms. You may not assign yours.


18.5. Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, war, pandemic, changes in YouTube/Google policies, etc.).
